1. Acceptance and scope
These Terms of Service ("Terms") govern access to and use of the FishMatch Group platform, websites, subdomains, applications, tools, calculators, RFQ engine, communications, APIs and related services (together, the "Platform"). By accessing or using the Platform you accept these Terms and all policies referenced below. If you do not agree, you must not use the Platform.
These Terms incorporate by reference the Privacy Policy, Disclaimer, Legal Notice, Accessibility Statement and the sections below covering Cookies, Acceptable Use, RFQ Terms, Buyer Terms, Supplier Terms, Marketplace Rules, Financing, Intellectual Property, AML/CTF, Sanctions and Cyber Security.
2. The service — independent marketplace
FishMatch Group ("FishMatch", "we", "us") operates an independent B2B marketplace that connects commercial buyers with independent third-party aquaculture equipment manufacturers, distributors, hatcheries, feed producers, EPC contractors, technology providers, logistics providers and financing partners ("Suppliers" and "Partners"). FishMatch does not manufacture, stock, distribute, install, service, transport, finance, insure or certify any equipment, livestock or aquaculture project.
3. Role of FishMatch — intermediary only
FishMatch acts solely as a neutral marketplace and business-introduction intermediary. Any equipment, biological material, civil works, engineering, EPC, installation, commissioning, training, spare parts, logistics, cold chain, financing, insurance or other service is provided exclusively by the Supplier, Partner or other third party you choose. The legal contract for supply, service or financing is concluded directly between you and that third party. FishMatch is not a party to that contract and assumes no obligation arising under it.
4. What FishMatch is NOT
You expressly acknowledge that FishMatch Group is not, and does not act as: a fish farm; an aquaculture operator; a hatchery; a seafood producer; a veterinarian; an engineering, biological or water-quality consultant; an equipment manufacturer; a distributor; an installer; a logistics or cold-chain provider; an insurer; a lender, bank, credit provider, investment advisor or regulated financial institution.
FishMatch Group is not responsible for fish or shrimp survival, biological performance, feed conversion, growth rates, disease prevention, mortality, water quality, harvest yields, environmental compliance, permitting outcomes, production economics or any other biological, technical or commercial result.
5. Third-party information
Technical information, product specifications, biological data, drawings, certifications, warranty terms, prices, lead times, delivery schedules, imagery and Supplier profiles originate from Suppliers, Partners or other third parties and may change without notice. FishMatch does not independently verify, endorse, guarantee or warrant any third-party information and makes no representation as to accuracy, completeness, availability, price, fitness, safety or quality. Nothing on the Platform constitutes a binding offer by FishMatch.
Buyers remain solely responsible for farm management, biosecurity, veterinary supervision, water quality, environmental compliance, permitting, animal welfare, worker safety, biological outcomes and all applicable local regulatory requirements.
6. Buyer Terms
By submitting an RFQ, project brief, financing request or other enquiry ("Buyer Submission") you represent and warrant that: (a) you are a business user acting for lawful commercial procurement purposes; (b) you are duly authorised to act for the entity named; (c) all information you submit is accurate, current and complete; (d) you will independently verify and validate any information, offer or quotation received from a Supplier or Partner; (e) you will conduct your own engineering, biological, legal, tax, financial, sanctions, export-control and regulatory due diligence before entering into any agreement; (f) you are solely responsible for import licences, customs, duties, VAT, biosecurity rules and any other obligations applicable in your jurisdiction; (g) you will not use the Platform for fraudulent, illegal or abusive purposes.
7. Supplier Terms
By registering as, or being listed as, a Supplier or Partner you represent and warrant that: (a) you are duly incorporated, licensed and authorised to manufacture, distribute, install, service, transport or finance the offering you present; (b) all information you provide — including certifications, capacity, references, prices and lead times — is accurate, current and not misleading; (c) you hold all required export, import, environmental, animal-welfare, food-safety, sanctions and product-safety approvals; (d) you will honour quotations you accept and will perform contracts you conclude with buyers in a professional and lawful manner; (e) you will not offer counterfeit, illegal, sanctioned or IP-infringing products; (f) you will respond to buyer requests within reasonable time; (g) you accept full and sole responsibility for the quality, safety, conformity, delivery, installation, warranty, service and after-sales support of everything you supply.
8. RFQ Terms
All RFQs (Requests for Quotation), tenders, project briefs and bankability packages generated, transmitted, stored or matched through the Platform are non-binding until a written contract is signed directly between the buyer and the chosen Supplier or Partner. FishMatch may format, translate, enrich, redact, share, forward or archive RFQs for the sole purpose of matching them with relevant Suppliers or Partners. FishMatch may decline to publish, forward, match or process any RFQ at its sole discretion, including where an RFQ appears incomplete, unlawful, fraudulent, sanctioned, off-topic, abusive or commercially non-viable.
9. Marketplace Rules
All users must interact professionally, in good faith, and in compliance with applicable law. The following are strictly prohibited and constitute grounds for immediate suspension or termination: (a) fraudulent, fake or shell companies; (b) identity theft or impersonation; (c) false production, capacity, certification or financial information; (d) illegal fishing, IUU fishing or illegal wildlife trade; (e) counterfeit, unsafe or IP-infringing products; (f) transactions involving sanctioned parties, sanctioned jurisdictions or sanctioned end-uses; (g) export-control violations; (h) money laundering, terrorist financing or proceeds of crime; (i) corruption, bribery or facilitation payments; (j) intellectual property infringement; (k) circumvention of the Platform to avoid fees, or off-platform harassment of counterparties introduced through the Platform; (l) scraping, harvesting, reverse engineering or automated abuse of the Platform.
10. Acceptable Use Policy
You may not: attempt to access non-public areas, accounts, servers or data; probe, scan or test vulnerability of the Platform except under our Responsible Disclosure policy; interfere with, disrupt or overload the Platform; upload malware, viruses or malicious code; use the Platform to send spam, phishing, unlawful marketing or defamatory content; misrepresent your identity, affiliation or authority; use the Platform in violation of any law, regulation or third-party right.
11. Account suspension & termination
FishMatch reserves the right, at its sole discretion and to the maximum extent permitted by applicable law, to review, suspend, restrict, downgrade, delist or permanently terminate any RFQ, listing, account or access, with or without prior notice, where appropriate — including where fraud, abuse, sanctions exposure, AML/CTF risk, IP infringement, safety concerns, regulatory concerns or breach of these Terms is suspected. FishMatch may request documentation (identity, incorporation, ownership, licensing, source of funds, end-use, export authorisations) at any time.
12. Fraud prevention
FishMatch operates layered controls to detect and prevent fraud, impersonation, fake company registrations, false production claims and marketplace abuse. FishMatch may verify counterparties, cross-check public registries, request additional documentation, share limited data with fraud-prevention Partners, and cooperate with law enforcement where appropriate. Users must promptly report suspected fraud to fraud@fishmatchgroup.com.
13. Anti-Money Laundering (AML) & Counter-Terrorist Financing (CTF)
FishMatch does not accept funds, hold client money or issue financial instruments. Nevertheless, where a transaction is introduced through the Platform to a financing Partner, or where FishMatch is required to act by applicable law, FishMatch may apply risk-based AML/CTF controls, including counterparty screening, ultimate-beneficial-owner (UBO) checks, source-of-funds and source-of-wealth enquiries, adverse-media screening and PEP screening. FishMatch may decline, delay or unwind any introduction or listing that presents unacceptable AML/CTF risk.
14. Anti-Bribery & Anti-Corruption
FishMatch has zero tolerance for bribery and corruption. Users must not offer, promise, give, request, receive or accept any undue advantage — monetary or otherwise — from or to any public official, private counterparty, employee, agent or family member thereof, in connection with any activity introduced through the Platform. Facilitation payments are prohibited. Users must comply with all applicable anti-corruption laws, including the UK Bribery Act 2010, the US Foreign Corrupt Practices Act (FCPA) and Cyprus anti-corruption legislation.
15. International sanctions compliance
Users must comply with all applicable international, EU, UN, US (OFAC), UK (OFSI) and Cyprus sanctions. Users must not use the Platform to solicit, offer, contract with or otherwise deal — directly or indirectly — with any sanctioned individual, entity, vessel, sector or jurisdiction, or with any party owned or controlled by such a party. FishMatch reserves the right to screen users and transactions and to block, suspend or terminate any activity that raises sanctions concerns.
16. Export control compliance
Aquaculture equipment, feed additives, veterinary products, live biological material and dual-use technology may be subject to export, re-export, import, phytosanitary or veterinary controls. Users are solely responsible for obtaining all required licences, permits and authorisations and for classifying goods correctly. Users must not use the Platform to arrange any transaction that would violate applicable export-control law of Cyprus, the EU, the UK, the US or any other relevant jurisdiction.
17. Financing services disclaimer
FishMatch Group is not a lender, bank, financial institution, credit provider, investment advisor, or regulated financial services provider.
- The Platform operates solely as a technology, sourcing and business-introduction platform.
- The Platform does not provide loans, credit, financial advice, investment advice or regulated financial services.
- The Platform does not negotiate, approve, underwrite or guarantee any financing.
- Financing requests may, subject to user consent, be shared with independent third-party financing providers for evaluation purposes only.
- All financing approval, terms, pricing, underwriting, due diligence and contractual arrangements are determined solely by the financing provider.
- Users are solely responsible for their own legal, tax, financial and commercial due diligence.
- Any financing agreement exists exclusively between the user and the independent third-party financing provider.
- FishMatch assumes no liability for financing decisions, lender actions, defaults, project failures or disputes.
- Financing is not guaranteed and remains subject to eligibility, compliance checks and lender approval.
18. Third-party services disclaimer
The Platform may integrate with, link to, or transmit data via independent third-party services (hosting, authentication, analytics, email, messaging, translation, mapping, payments, AI models, credit-scoring, KYC/AML providers, logistics APIs and others). FishMatch does not control and is not responsible for the availability, accuracy, security, terms, pricing or content of any third-party service. Your use of a third-party service is subject to that provider's own terms and privacy policy.
19. AI content disclaimer
Portions of the Platform — including calculators, insights, summaries, translations, buyer/supplier matching, RFQ enrichment, planning suggestions and chat responses — are generated or assisted by artificial-intelligence models. AI-generated content is provided for informational purposes only and may be incomplete, inaccurate, outdated or misleading. AI output does not constitute engineering, biological, veterinary, legal, tax, financial or investment advice. Users must independently verify AI-generated output before relying on it and must retain qualified professionals for material decisions.
20. Cyber security
FishMatch applies commercially reasonable administrative, technical and organisational safeguards to protect the Platform and user data, including encryption in transit, access controls, logging, monitoring and least-privilege principles. No system is perfectly secure. Users must protect their credentials, use strong unique passwords, enable multi-factor authentication where offered and notify us immediately of any suspected unauthorised access at security@fishmatchgroup.com.
21. Responsible disclosure
Security researchers who identify a vulnerability in the Platform are asked to report it privately to security@fishmatchgroup.com before any public disclosure. Please provide reproduction steps, impact assessment and reasonable time to remediate. Do not access, modify or exfiltrate data belonging to other users, do not run denial-of-service tests, and do not use social engineering. Good-faith research performed in accordance with this policy will not be pursued by FishMatch.
22. Intellectual Property
The Platform, its software, source code, database rights, layouts, graphics, imagery, videos, taxonomies, calculators, article content, guides, templates, methodologies, matching logic, trademarks, service marks, logos and trade dress (together, the "IP") are owned by FishMatch Group or its licensors and are protected under applicable Cyprus, EU and international intellectual-property law. Nothing on the Platform grants — by implication, estoppel or otherwise — any licence or right to use any IP without our prior written consent, save for the limited licence in Section 24 below.

Unauthorised copying, republication, reverse engineering, screen-scraping, framing, systematic extraction or commercial redistribution of any part of the Platform is prohibited. Copyright and trademark complaints (including DMCA-style notices) should be sent to legal@fishmatchgroup.com with (i) identification of the protected work, (ii) identification of the allegedly infringing material and its URL, (iii) your contact details, (iv) a good-faith statement and (v) an authorised signature.
24. Limited user licence & reservation of rights
Subject to your continuous compliance with these Terms, FishMatch grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform for your own legitimate internal B2B procurement or supply purposes. All rights not expressly granted are reserved by FishMatch Group and its licensors.
25. Disclaimer of warranties
The Platform is provided "as is" and "as available". To the maximum extent permitted by applicable law, FishMatch disclaims all warranties, whether express, implied, statutory or otherwise, including any warranty of merchantability, fitness for a particular purpose, title, accuracy, completeness, timeliness, non-infringement, quiet enjoyment, security, absence of viruses and uninterrupted or error-free operation.
26. Limitation of liability
To the maximum extent permitted by applicable law, FishMatch Group, its affiliates, directors, officers, employees, contractors and agents shall have no liability whatsoever, whether in contract, tort (including negligence), statute, restitution or otherwise, for any loss, damage, injury, death, delay, cancellation, livestock loss, disease outbreak, biosecurity incident, water-quality event, harvest loss, property damage, financial loss, lost profit, lost revenue, lost opportunity, business interruption, loss of goodwill, loss of data, regulatory fine, reputational harm, emotional distress, or any direct, indirect, incidental, special, consequential, exemplary or punitive damages arising out of or in connection with (a) any equipment, biological material, service, transportation, installation, financing or insurance supplied by any Supplier, Partner or other third party; (b) any act, omission, default, insolvency, fraud, misrepresentation or breach by any Supplier, Partner, payment provider, financing provider or other third party; (c) any third-party information appearing on the Platform; (d) any decision made based on indicative pricing, availability, calculator output, AI-generated content or matching results; (e) any unavailability, error, interruption, security incident or content of the Platform; (f) any Force Majeure event (Section 27).
Without limiting the foregoing, and to the maximum extent permitted by applicable law, the aggregate liability of FishMatch arising out of or related to the Platform, regardless of the cause of action, shall not exceed one hundred euros (€100). Where applicable law does not permit the exclusion or limitation of certain liabilities, such liability is excluded or limited only to the minimum extent required by that law; mandatory consumer-protection rights of your country of residence are not affected.
27. Force Majeure
FishMatch shall not be liable for any failure, delay or inability to perform any obligation under these Terms to the extent caused by events beyond its reasonable control, including — without limitation — acts of God, natural disasters, storms, floods, drought, extreme temperatures, disease outbreaks (including aquatic animal disease, zoonoses and pandemics), harmful algal blooms, pollution events, war, armed conflict, terrorism, civil unrest, riot, sabotage, sanctions, embargoes, export controls, changes in law, governmental or regulatory action, permit or licence denial, strike, labour dispute, cyber-attack, denial-of-service, malware, telecommunications or internet failure, power failure, or failure of upstream service providers (cloud hosting, AI models, email, payments).
28. Indemnification
You agree to defend, indemnify and hold harmless FishMatch Group and its affiliates, directors, officers, employees and agents from and against any claim, demand, investigation, loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of or related to (a) your use of the Platform; (b) any equipment, service, biological material, financing or introduction obtained through the Platform; (c) any breach by you of these Terms, of applicable law, of a third party's IP, privacy or contractual rights; (d) any dispute between you and a Supplier, Partner, financing provider or other user.
29. GDPR & data protection
Personal data processed through the Platform is handled in accordance with our Privacy Policy, which forms part of these Terms and describes lawful bases, categories of data, retention, cross-border transfers, subprocessors and data-subject rights under the EU General Data Protection Regulation (GDPR) and applicable Cyprus data-protection law. 30. Cookies
The Platform uses strictly-necessary cookies (authentication, session, security, load balancing, consent) and, subject to your consent where required, optional analytics and preference cookies. Details, categories, retention periods and how to withdraw consent are set out in the Cookies section of our Privacy Policy.
31. Governing law & exclusive jurisdiction
These Terms and any non-contractual obligation arising out of or in connection with them are governed by the laws of the Republic of Cyprus, without regard to conflict-of-laws rules. The courts of the Republic of Cyprus (Nicosia) shall have exclusive jurisdiction to settle any dispute, save that FishMatch may bring proceedings against a user for infringement of its intellectual-property rights, unpaid fees, or breach of confidentiality in any competent court where that user is domiciled, holds assets or does business. Mandatory consumer-protection rights of your country of residence are not affected. Class actions and collective arbitration are waived to the maximum extent permitted by law; disputes must be brought individually.
32. Changes
We may update these Terms at any time. The version number and "Last updated" date will reflect any material change. Continued use of the Platform after changes take effect constitutes acceptance. If you do not agree, stop using the Platform.
33. Severability & entire agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving intent. These Terms, together with the policies referenced above, constitute the entire agreement between you and FishMatch regarding the Platform, and supersede any prior communication or agreement on the subject.
